Tinker LLC Manager — Terms of Use

By installing or using Tinker LLC Manager ("the app") you agree to these terms. If you do not agree, do not use the app.

1. What the app is

Tinker LLC Manager is desktop software for a sole owner / sole employee single-member LLC. It tracks compliance deadlines, customers, jobs, invoices, receipts, mileage, and paperwork, and it stores that work locally on your device. North Carolina ships as the included default state pack; other state packs may be added over time.

It is a personal record-keeping and organizing tool. It is not an accounting firm, a registered agent, a filing service, or a substitute for one.

2. Not legal, tax, insurance, or financial advice

Everything in the app — the setup guide, compliance checklist, glossary, tax estimates, mileage rates, and due dates — is general information for planning, not advice. We are not your attorney, accountant, or insurance broker, and using the app creates no professional relationship.

  • Rates, fees, forms, and deadlines change. Confirm every one of them with the North Carolina Secretary of State, NCDOR, the IRS, and any other authority that applies to you before you file, pay, or rely on a number.
  • Tax figures in the app are estimates built from published rates and simplifying assumptions. They are not a tax return, a filing, or a determination of what you owe.
  • Official filings happen on government websites. The app never files anything for you.

You are responsible for the accuracy, completeness, and timeliness of your own records and filings.

3. Your data and your responsibility

Your data lives on your device (see the Privacy page). You are responsible for:

  • keeping backups and testing that you can restore them
  • securing the device, your app password, and any export ZIPs you create
  • what you send from the app, including emails and documents you generate
  • complying with the law wherever you operate, including record-retention rules

We cannot recover your data. Resetting the app, losing the device, or losing an export password destroys the data permanently.

4. License

We grant you a personal, non-exclusive, non-transferable license to install and use the app for operating your own LLC. You may not resell it, redistribute it as your own, or remove attribution. Where the app includes open-source components, those components stay under their own licenses.

5. Acceptable use

Do not use the app to break the law, to store data you have no right to hold, or to abuse the third-party services it contacts. Do not attempt to interfere with the diagnostics receiver or other infrastructure.

6. Third-party services

Optional features may contact services when you enable and use them — including Tech & Tinker’s self-hosted Nominatim-compatible geocoder and OSRM-compatible router (OpenStreetMap data), NCDOR and SSA public pages for tax-rate refresh, your SMTP provider, and (on direct-download builds) our update feed. Those services have their own terms and availability, may change or disappear, and are used at your discretion. Their results (addresses, driving distances, published rates) are provided as-is and can be wrong. Where OpenStreetMap data is shown, attribute © OpenStreetMap contributors.

7. No warranty

The app is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the app will be uninterrupted, error-free, current with the law, or that any estimate it produces is correct.

8. Limitation of liability

To the maximum extent permitted by law, Tech & Tinker Consulting LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, goodwill, penalties, interest, or missed filing deadlines, arising from your use of the app. Our total liability for any claim is limited to the amount you paid for the app in the twelve months before the claim, or USD $50 if you paid nothing.

Some jurisdictions do not allow certain exclusions; in those places these limits apply only as far as the law permits.

9. Indemnity

You will indemnify and hold us harmless from claims arising out of your use of the app, your data, or your filings.

10. Termination

You may stop using the app at any time and delete it. These terms end when you do, except that sections 2, 3, and 7–9 survive.

11. Changes

We may update these terms; the effective date above changes when we do, and material changes are noted in the release notes. Continued use means you accept the revised terms.

12. Governing law and contact

These terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-law rules.
